Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Tessera (the "Service"), provided by The Tessera Project ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
- You must be at least 16 years old and able to form a binding contract.
- You are responsible for the accuracy of the information you provide and for keeping your account credentials secure.
- You are responsible for all activity under your account. Notify us immediately at info@tessera-project.dev of any unauthorised use.
- You may not share, sell, or transfer your account without our written consent.
2. The Service
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes, subject to these Terms.
We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give notice of material changes that adversely affect you. As an independent project, the Service may change or be discontinued at our discretion.
3. Subscriptions, fees, and payment
- Access to paid features requires payment of the fees shown at (Coming Soon...).
- Fees are billed monthly in advance and are payable via our payment provider (Stripe).
- Any subscriptions renew automatically unless cancelled before the renewal date.
- You can cancel at any time; cancellation takes effect at the end of the current billing period. Unless required by law, fees already paid are non-refundable.
- We may change our fees on 30 days' notice. Continued use after a price change means you accept the new fees.
- You are responsible for any taxes applicable to your use, other than taxes on our income.
4. Acceptable use
You agree not to:
- Use the Service unlawfully or in breach of these Terms.
- Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure.
- Introduce malware, scrape at scale, or impose unreasonable load.
- Upload content that is illegal, infringing, defamatory, or violates others' rights.
- Resell or provide the Service to third parties except as expressly permitted.
We may suspend or terminate access for breach of this section without notice where reasonably necessary.
5. Your content and data
- You retain ownership of content and data you submit to the Service ("Your Content").
- You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to operate and improve the Service.
- You are responsible for Your Content and for having the rights to submit it.
- Our handling of personal information is governed by our Privacy Policy at tessera-project.dev/pvcy.
6. Our intellectual property
The Service, including its software, design, branding, text, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. Except for the licence in Section 2, these Terms grant you no rights in our intellectual property. You may not use our name, logo, or branding without written permission.
7. Third-party services
The Service may integrate with or rely on third-party services (including Stripe, Supabase, Vercel, and OpenRouter). Your use of those services is governed by their own terms. We are not responsible for third-party services and do not warrant their availability or performance.
8. Availability and support
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as available" basis. As an independent project, support is provided on a reasonable-efforts basis via info@tessera-project.dev, with no guaranteed response time unless separately agreed.
9. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, that cannot lawfully be excluded ("Non-excludable Guarantees").
To the extent we are permitted to limit our liability for a breach of a Non-excludable Guarantee, our liability is limited, at our option, to:
- supplying the services again; or
- paying the cost of having the services supplied again.
10. Limitation of liability
Subject to Section 9, and to the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service.
- Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the greater of the amount you paid us for the Service in the 3 months preceding the event giving rise to the liability, or AUD $100.
11. Indemnity
To the maximum extent permitted by law, you agree to indemnify us against any claims, losses, liabilities, and reasonable costs arising from your breach of these Terms, your misuse of the Service, or Your Content infringing the rights of a third party.
12. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your access if you breach these Terms, fail to pay, or where reasonably necessary to protect the Service or other users.
- On termination, your licence to use the Service ends. We may delete Your Content after a reasonable period, subject to our Privacy Policy and any legal retention obligations. You are responsible for exporting Your Content before termination where that option is available.
- Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, and 13) survive.
13. Governing law
These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or email. The "Last updated" date reflects the current version. Continued use after changes means you accept the updated Terms.
15. General
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the rest remains in effect.
- No waiver: Our failure to enforce a provision is not a waiver of it.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a transfer of the Service to another operator.
